Toronto, Ontario – Atlanta Gold Inc. (TSX: ATG) announces that it has completed the initial $1.6 million tranche of its $2.5 million private placement offering previously announced on December 2, 2008. The Company has completed the sale of 16,324,000 Units at a price of $0.10 per Unit for gross proceeds of $1,632,400. Each Unit consisted of one common share and one-half of one common share purchase warrant, with each whole warrant entitling the holder to purchase one common share of the Company at a price of $0.25 per share for a period of up to 24 months from the closing date of the Offering. The Company has the right to accelerate the expiry date of the warrants if the closing price of the Company’s common shares on the Toronto Stock Exchange exceeds $0.50 for 20 consecutive trading days on which the Company’s shares trade. Proceeds of the offering will be used to explore the Company’s Atlanta gold property located in Idaho, U.S.A. and for working capital purposes. Insiders of the Company purchased a total of 7,864,000 Units sold in the initial tranche.
James K. Gray of Calgary, Alberta, the Chairman of the Company, purchased 5,150,000 Units, representing approximately 11% of the Company’s current outstanding shares and approximately 15.6% assuming exercise of the warrants only by Mr. Gray. Following completion of the purchase of the Units, Mr. Gray beneficially owns 6,747,544 common shares, representing approximately 14.4% of the outstanding shares, as well as warrants to purchase 2,575,000 shares and options to purchase 256,667 shares. Assuming exercise of all of the warrants and stock options owned by Mr. Gray, he would then own 9,579,211 shares, representing approximately 19.3% of the Company’s then outstanding shares on a partially diluted basis, assuming no other warrants or stock options are exercised. The Units were purchased for investment purposes. Mr. Gray has no present intention to acquire additional shares of the Company but reserves the right to do so depending on market conditions and other relevant factors. Cedric Ritchie of Toronto, Ontario, purchased 3,000,000 Units, representing approximately 6.4% of the Company’s current outstanding shares and approximately 9.3% assuming exercise of the warrants only by Mr. Ritchie. Following completion of the purchase of the Units, Mr. Ritchie beneficially owns 4,593,167 common shares, representing approximately 9.8% of the outstanding shares and warrants to purchase 1,500,000 shares. Assuming the exercise of the warrants owned by Mr. Ritchie, he would then own 6,093,167 shares, representing approximately 12.6% of the Company’s then outstanding shares on a partially diluted basis. The Units were purchased for investment purposes. Mr. Ritchie has no present intention to acquire additional shares of the Company but reserves the right to do so depending on market conditions and other relevant factors.
